PURPOSE

The Guild shall be a non-profit organization. Its purpose is to provide the puppeteers and puppet enthusiasts of Northeastern Ohio a forum for the exchange of information and encouragement of our art form. It shall take an active role in solving any problems brought to it by any person or group as long as these problems agree with the goals and purposes of the Guild and the Puppeteers of America, Inc.

PGNO ACTIVITIES

Regularly scheduled activities of the PGNO include monthly meetings and a variety of annual events.

Monthly Meetings

Monthly meetings are normally held at 2:30 p.m on the third Sunday of each month between September and June (with the exception of December) and feature workshops or performances in addition to the normal order of business.

Annual Events

  • Thank Goodness Christmas is Over annual banquet held on the third Sunday in January.

  • CIM Mini-day with Puppets, an event held during the annual visit of the National Marionette Theatre at the Cleveland Institute of Music, which offers the opportunity to promote puppetry arts with puppet displays, exhibits and a puppet store.

  •  Parade on the Circle, an annual day-long event the second Saturday in June, where PGNO and the Western Reserve Association for the Preservation and Perpetuation of Storytelling (WRAPPS) offer puppet shows and storytelling on the lawn of University Circle in Cleveland.

  • Puppet Potlatch (really an informal Great Lakes regional puppetry event) is held at the Potawatomi Inn in the Pokegon State Park near Angola, Indiana on the second weekend of each November. 


THE PGNO NEWSLETTER, THE SWAZZLE

The newsletter of the PGNO, the Swazzle, is printed and distributed to all members of the PGNO every other month. Normal months of publication are: January, March, May, July, September, and November but if it only comes out five times in a year instead of six, nobody gets too upset!

The Swazzle contains reports of past meetings, a monthly glimpse back at PGNO history, little tidbits of information about the membership's happenings, feature articles, reminders of upcoming events, and reports about puppetry related events in the northeastern Ohio area. CONSTITUTION Revised February 1988

Article I - Name

Puppetry Guild of Northeastern Ohio (PGNO).

Article II - Purposes

The Guild shall be a non-profit organization. Its purpose is to provide the puppeteers and puppet enthusiasts of Northeastern Ohio a forum for the exchange of information and encouragement of our art form. It shall take an active role in solving any problems brought to it by any person or group as long as these problems agree with the goals and purposes of the Guild and the Puppeteers of America, Inc.

 

Article III - Membership

There shall be four classes of membership in the association: Family, Couple, Individual, Junior (15 and under).

 

Article IV - Officers, Elected President, Vice-President, Secretary, Treasurer

  • Section I - The President

     

  • shall head the organization and oversee the affairs and functions of the Guild,

     

  • shall preside at all meetings,

     

  • shall appoint personnel or chairpersons of all committees, subject to approval of the membership,

     

  • shall see that all orders and resolutions of the membership are carried into effect within a time satisfactory to the membership,

     

  • shall receive all reports from the officers and committee in advance of the annual meeting to be held at the of the fiscal year.

    Section II - The Vice-President

     

  • shall in the absence of the President, perform the duties and exercise the powers of the President, as well as any duties assigned by the President,

     

  • shall be considered program director of the Guild.

    Section III - The Secretary

     

  • shall keep records of the Guild's meetings,

     

  • shall present the minutes of the previous meeting,

     

  • shall correspond with any persons or organizations at the direction of the President or membership,

     

  • shall send appropriate cards to members in events such as illness, weddings, births, deaths.

    Section IV - The Treasurer

     

  • shall receive and deposit all monies,

     

  • shall pay all bills,

     

  • shall maintain a bank account in the organization's name,

     

  • shall spend or release this money upon approval of the Executive Committee or the majority membership attending that meeting when the issue is presented.

     

  • All the financial records are the property of the Guild. At the end of the outgoing Treasurer's term, these records shall be passed onto the incoming Treasurer.

     

  • An annual report shall be given to the President prior to the June meeting.

     

Article V - Election of Officers

  • Section I - The officers shall be elected by a majority of the eligible membership at the May meeting for a term of one year.

    Section II - Of the officers, the President and two others must be members of the Puppeteers of America.

    Section III - Officers must be members in good standing one year prior to the term in which they serve.

    Section IV - A nominating committee shall be selected prior to or during the March meeting. Members intending to run for office shall not be members of this committee.

    One outgoing member of the Executive board, other than the president, can be a member of this committee.

    The nominating committee shall present a slate of officers to the membership at the April meeting. Nominations from the floor will be accepted at this time. Nominations will not be accepted at the May meeting. This slate and a ballot will be published in the Swazzle or in a special newsletter prior to the May meeting.

    Section V - The election will take place at the May meeting by secret vote.

    Section VI - Members unable to attend the May meeting will vote by mailing ballots to the secretary who will present them, unopened, to the tellers at the time of the election.

    Section VII - An officer cannot serve in the same office for more than two consecutive terms.

    Section VIII - Officers shall be installed at the June meeting.

     

Article VI - Officers, Appointed

  • Section I - Appointed Officers shall serve for a term of one year. Their appointment or reappointment shall be approved by the newly elected Executive Board.

    Section II - Editor of Newsletter

     

  • shall prepare, print, and distribute in a timely manner a periodically scheduled newsletter containing items of news or information concerning puppetry, the activities of the Puppetry Guild of Northeastern Ohio or its members,

     

  • shall be responsible for the maintenance and the administration of a revolving fund to be used solely for newsletter expenses. Fund reimbursements will be provided by the treasurer upon presentation of a written summary of expenses along with paid receipts,

     

  • shall be responsible for the care of the back issue file of newsletters and other PGNO property used in newsletter production,

     

  • shall distribute newsletters by the most economical means to an approved list of PGNO members which will be provided by the treasurer and to others as required by a majority vote of the PGNO membership,

     

  • shall be a member of the Executive Board.

    Section III - Membership Chairperson

     

  • shall receive membership applications and dues for new members and renewal dues from current members,

     

  • shall keep a file of members indicating status of membership,

     

  • shall send membership cards to members or distribute them at meetings,

     

  • shall send membership flyers to prospective members,

     

  • shall compile a membership directory, have it printed, and distribute it to the membership,

     

  • shall send notice of meetings every other month,

     

  • shall keep the newsletter editor updated on new members,

     

  • shall be a member of the Executive Board.

    Section IV - Hospitality Chairperson

     

  • shall sign up two host/hostesses to serve refreshments at each meeting,

     

  • shall collect refreshment monies donated and use them to replenish refreshment supplies,

     

  • shall be responsible for storage of refreshment supplies,

     

  • shall account to the treasurer and the membership for all donations and expenditures at the annual open board meeting.

    Section V - Historian

     

  • shall keep a scrap book of the Guild activities and members activities,

     

  • shall take photographs of Guild activities to be placed in a scrap book.

Article VII - Amendments

  • Section I - Amendments to this constitution may be initiated by three members of the Guild submitting a signed resolution at any meeting.

    Section II - Before being acted upon, an amendment to the constitution must appear in the newsletter and must be voted upon at the next meeting.

    Section III - An amendment shall be adopted by a two-thirds vote of the eligible members.

     

Article VIII - Dissolution

In the event that the then active membership determines that insufficient interest exists in pursuing the functions and purpose of the Guild, a notice shall be conveyed to all paid up members. The notice shall advise the paid up members that the Guild will be dissolved within 4 weeks. Upon dissolution, all assets and properties shall be offered to the Puppeteers of America in hopes that they will find a use for it, with the stipulation that it be used for the good of puppetry. If they elect or cannot accept this gift, the officers may appoint a trustee to keep such monies in an interest bearing account until such time as another Guild is established in Northeastern Ohio.


BYLAWS

Article I - Membership and dues

  • Section I - The Guild's fiscal year shall run from one June meeting to the next June meeting. Payment of dues shall be made by September 30 of the fiscal year. This Section was changed or amended to read: Fiscal year shall run from one January meeting to the next January meeting. Deadline for dues is March 30th of each year. (Change made in 1991. -Elaine Haga)

    Section II - Membership categories and Dues

     

    • Family - $15.00
      Couple - $12.00
      Individual - $7.50
      Junior (15 & under) - $5.00

       

(NOTE: As of September 1996, the membership rates are Family-$18, Couple-$15, and Individual-$10. There is no longer a Junior membership category. -KD)

 

Article II - Quorum

A quorum shall consist of a meeting of one-fourth or more adult members in good standing.

 

Article III - Committees

Committees shall be appointed by the President or by membership action. The President shall be ex-officio to all committees except to the nominating committee and may appoint chairpersons from the membership.

 

Article IV - Amendments and rules of procedures

  • Section I - These bylaws may be amended at any time by membership action of a two-thirds majority of those in attendance at a meeting.

    Section II - Proposed amendments will be introduced at a meeting, the amendment will be published in the newsletter and acted upon at the next meeting.

    Section III - The current Robert's Rules of Order shall be authority for all matters of procedure.

     

Article IV - The Executive Committee

Section I - The Executive Committee shall consist of the elected officers, the current past president, the newsletter editor, the membership chairperson, and one member-at-large. Should the current past president be unable to serve, the next highest ranking past officer shall serve on the Board. The current President shall chair all executive meetings.

Section II - Meetings of the Executive Board shall be held whenever necessary providing all members of the Board are notified in advance. Five members constitute a quorum and may act as a majority. Any Board member may call for a meeting.

Section III - The Executive Board may decide Guild policies of future concern. They shall fill any vacancies of elected officers by appointment, and see to the general smooth operation of the Guild.

Section IV - The Executive Committee is the highest committee of the Guild and subservient only to this constitution or a two-thirds vote of the eligible members in attendance at a meeting.
